Terms of Service

These Terms of Service ("Terms") govern your access to and use of Terralis websites, mobile applications, APIs, and related services (collectively, the "Services"). Terralis is the second brain for modern pharmacies—not generic retail store management software.

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Overview of the Services

Terralis is designed for licensed pharmacies and pharmacy teams. The Services may include, depending on your plan and configuration:

  • A central drug intelligence layer (product identity, regulatory flags, clinical attributes where available)
  • Real-time or near–real-time checks and alerts for drug combinations, prescription requirements, and related safety signals
  • Prescription capture, storage, and linkage to sales, with configurable enforcement and audit trails
  • Optional customer profiles and continuity-of-care context (with appropriate consent and configuration)
  • Inventory, expiry, subscription or refill-oriented workflows tied to pharmacy operations
  • Staff access control across branches, reporting, billing, and integrations
  • Assistive or AI-powered features that surface or summarize information (see Section 5)

Features vary by region, product tier, and configuration. We do not guarantee availability of every capability in every jurisdiction.

2. Eligibility

You must be at least 18 years old to use the Services.

By using the Services, you represent that:

  • You can enter into a binding agreement
  • You use the Services on behalf of yourself or a valid business entity authorized to operate a pharmacy (or support one)
  • You have authority to bind the organization you represent to these Terms

3. Account Registration

Each user must have an account. You agree to:

  • Provide accurate and complete information
  • Keep credentials confidential
  • Notify us promptly of suspected unauthorized access

You are responsible for activity under your account.

4. Pharmacy, Company & User Responsibilities

4.1. Organization responsibility

The subscribing pharmacy or company is responsible for:

  • User provisioning, roles, and branch access
  • Accuracy of data entered or imported
  • Compliance with pharmacy, privacy, record-keeping, and medicines laws that apply to you, including Ghana’s Data Protection Act, 2012 (Act 843) where applicable
  • Obtaining valid consent before recording personal or health-related data about a customer or patient, in line with the consent practices described in our Privacy Policy
  • Professional supervision of staff using the Services

For patient health-related data processed through the Services, the subscribing pharmacy acts as Data Controller and Terralis acts as Data Processor under our Data Processing Agreement, incorporated by reference into these Terms for organizations that process such data.

4.2. User responsibility

  • Access only data and branches you are authorized to use
  • Enter information truthfully and carefully
  • Use the Services lawfully and ethically
  • Not compromise security, APIs, or other tenants’ data

5. Clinical, Regulatory & AI Disclaimers

Not medical advice. The Services are software tools for pharmacy operations. They do not provide medical advice, diagnosis, or treatment. Nothing in the Services replaces the professional judgment of a qualified pharmacist, prescriber, or other licensed clinician.

Alerts and information are assistive. Drug interaction, contraindication, prescription requirement, and similar signals are provided for informational support. They may be incomplete, delayed, or incorrect. The pharmacist or responsible professional must verify information against authoritative sources and local practice standards before acting.

Not a medical device. Unless we expressly state otherwise in writing for your jurisdiction, we do not position Terralis as a regulated medical device or clinical decision system. You are responsible for how you use the Services under applicable law.

AI-assisted features. Where the Services use automation or AI to summarize, rank, or surface content, output may be inaccurate or incomplete. AI does not replace professional review. You remain responsible for decisions affecting patients and compliance.

Regulatory compliance. Laws governing pharmacies, controlled substances, data protection, advertising of medicines, and record retention differ by country and region. You—not Terralis—are responsible for meeting your obligations.

6. Acceptable Use

You agree not to:

  • Access or attempt to access other organizations’ data
  • Use the Services for unlawful dispensing, fraud, or mislabeling of medicines
  • Store or transmit illegal content or misuse prescription media
  • Reverse engineer, circumvent security, or overload systems
  • Misuse APIs, credentials, or integrations

We may suspend access for violations.

7. Subscriptions & Billing

Paid plans may apply. Fees, taxes, and renewal terms are presented at purchase or in your account.

7.1. Billing

  • Charges follow the plan you select
  • Pricing is shown before payment where required

7.2. Renewals

  • Subscriptions may renew automatically unless cancelled as described in-product
  • Failed payment may result in suspension until resolved

7.3. Refunds

Refunds are discretionary unless required by law. We typically do not refund for partial periods, lack of use, or data loss caused by user error.

8. Data & Privacy

Our Privacy Policy describes how we collect, use, and protect data—including operational and optional health-related information processed in pharmacy workflows, and how Data Controller and Data Processor responsibilities are divided between your organization and Terralis.

  • You authorize us to host and process data you submit to operate the Services
  • Where you process patient health-related data through the Services, our processing of that data on your behalf is additionally governed by our Data Processing Agreement
  • We may send operational and security communications
  • We may use aggregated, de-identified data to improve reliability and features

We do not sell personal data.

9. Availability & Changes

The Services may be unavailable during maintenance, upgrades, outages, or events outside our control. We may modify or discontinue features with reasonable notice where practicable.

10. Intellectual Property

Terralis and its branding, software, documentation, and content are owned by us or our licensors. Use of the Services does not transfer ownership rights.

  • No copying or redistribution of our software except as licensed
  • No resale of access without authorization
  • No use of trademarks without permission

11. Termination

We may suspend or terminate access for breach, risk, or legal requirement. You may stop using the Services at any time. Termination does not automatically cancel billing obligations—you must cancel subscriptions according to in-product flows or support instructions.

On termination, we will retain or delete patient health-related data in line with our Data Processing Agreement with the organization and applicable record-retention law — we do not unilaterally delete a pharmacy’s patient records outside that process.

12. Limitation of Liability

To the maximum extent permitted by law:

  • The Services are provided “as is” and “as available”
  • We disclaim warranties not expressly stated, including implied warranties where disclaimable
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for patient harm, dispensing errors, regulatory penalties, or lost profits arising from use of or reliance on the Services, including alerts or AI output

Where liability cannot be excluded, our aggregate liability is limited to the fees you paid for the Services in the twelve (12) months before the claim (or, if none, a nominal amount), except where prohibited by law.

13. Indemnification

You will defend and indemnify Terralis and its affiliates, officers, and employees against third-party claims arising from your use of the Services, your data, your violation of these Terms, or your violation of law—except to the extent caused by our willful misconduct.

14. Changes to These Terms

We may update these Terms. Material changes will be communicated by email, in-product notice, or posting an updated date. Continued use after the effective date constitutes acceptance unless applicable law requires otherwise.

15. Governing Law
