Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Terralis websites, mobile applications, APIs, and related services (collectively, the “Services”).

By using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Overview of the Services

Terralis provides software designed to support medication-related decisions and healthcare workflows.

Depending on your plan, configuration, and jurisdiction, the Services may include:

• A structured medication and drug intelligence layer
• Medication information, clinical attributes, regulatory information, and safety signals
• Drug interaction, contraindication, dosing, prescription, and related checks
• Patient and medication-management workflows
• Prescription capture, storage, and linkage to pharmacy workflows
• Pharmacy operations including dispensing, inventory, expiry, reporting, and branch management
• Patient and customer profiles and medication history
• Assistive and AI-powered features that summarize, organize, explain, rank, or surface relevant information
• Staff access controls, audit trails, integrations, billing, and reporting

Features vary by plan, region, and configuration. We do not guarantee that every capability is available in every jurisdiction.

The Services are intended to support, and not replace, the professional judgment of pharmacists, prescribers, and other qualified healthcare professionals.

2. Eligibility

You must be at least 18 years old to use the Services.

By using the Services, you represent that:

• You can enter into a binding agreement.
• You are using the Services on your own behalf or on behalf of an organization you are authorized to represent.
• You have authority to bind that organization to these Terms where applicable.

3. Account Registration

Each user must have an account where an account is required.

You agree to:

• Provide accurate and complete information.
• Keep your credentials confidential.
• Use your account only for authorized purposes.
• Notify us promptly of suspected unauthorized access.

You are responsible for activity conducted through your account, except where caused by our failure to maintain appropriate security measures.

4. Customer Organization Responsibilities

Where an organization uses the Services, the organization is responsible for:

• Provisioning users and assigning appropriate roles and permissions.
• Controlling access to its branches, records, and workflows.
• Ensuring information entered or imported into the Services is accurate to the extent reasonably possible.
• Complying with applicable pharmacy, healthcare, medicines, privacy, record-keeping, and other laws and professional requirements.
• Obtaining any consent or establishing any other lawful basis required for processing personal or health-related information.
• Ensuring personnel use the Services appropriately and within their professional scope.
• Independently verifying clinical information before relying on it for patient-related decisions.

Where an organization processes patient or customer health-related information through the Services, the organization will generally act as the Data Controller and Terralis will generally act as the Data Processor, subject to the applicable Data Processing Agreement and applicable law.

5. User Responsibilities

Users must:

• Access only information and branches they are authorized to access.
• Enter information carefully and truthfully.
• Use the Services lawfully and ethically.
• Follow applicable professional standards and organizational policies.
• Verify clinical information before relying on it for patient-related decisions.
• Protect credentials, devices, and other access mechanisms.

Users must not:

• Access another organization’s data without authorization.
• Use the Services for unlawful dispensing, fraud, mislabeling, or other unlawful activity.
• Circumvent security or access controls.
• Reverse engineer, copy, or interfere with the Services except where permitted by law.
• Overload, disrupt, or abuse the Services, APIs, or integrations.
• Use the Services to create or distribute unlawful content.

6. Clinical Information and Professional Judgment

6.1. Not a substitute for professional judgment

Terralis provides software and information intended to assist qualified healthcare professionals with medication-related decisions and healthcare workflows.

The Services do not independently diagnose, prescribe, or treat patients and do not replace the professional judgment of a qualified pharmacist, prescriber, or other licensed healthcare professional.

6.2. Clinical information and alerts

Medication information, interaction checks, contraindication signals, dosing information, counselling information, prescription-related prompts, and other clinical or safety outputs may be incomplete, inaccurate, outdated, delayed, or unsuitable for a particular patient, medication, or jurisdiction.

Professionals must independently assess the information and, where appropriate, verify it against authoritative clinical references, applicable treatment guidelines, product information, and local professional standards before acting.

6.3. Regulatory requirements

Laws and professional requirements governing pharmacies, medicines, controlled substances, prescribing, dispensing, advertising, clinical practice, record retention, and healthcare software vary between jurisdictions.

You are responsible for ensuring that your use of the Services complies with the laws and professional requirements applicable to you.

7. AI-Assisted Features

Some features may use artificial intelligence, machine learning, automated processing, or other computational methods to summarize, organize, explain, rank, or surface information.

AI-generated or automated output:

• May be inaccurate, incomplete, or misleading.
• May omit information relevant to a particular situation.
• Must not be treated as an independent source of clinical truth.
• Must be reviewed by an appropriately qualified professional before being relied upon for patient-related decisions.

Terralis is designed so that AI-assisted functionality operates as an assistance layer over available information and does not replace professional judgment.

Where applicable, additional terms or notices may apply to particular AI features.

8. Clinical Sources and Evidence

Terralis may use information from public, licensed, proprietary, or other authorized sources.

Where clinical findings or information are presented as source-based, Terralis may provide source attribution or references to help users review the underlying information.

The availability, completeness, and licensing of particular sources may vary by jurisdiction and product configuration.

Terralis does not represent that every source is comprehensive or appropriate for every clinical situation.

9. Subscriptions and Billing

Paid plans, trials, or other commercial arrangements may apply.

Fees, taxes, billing periods, renewal terms, and applicable limits will be presented before purchase or in the relevant account or product interface.

9.1. Billing

• Charges follow the plan or commercial arrangement selected.
• Pricing is presented before payment where required.
• You are responsible for applicable taxes and charges associated with your subscription unless otherwise stated.

9.2. Renewals

Where automatic renewal applies:

• Your subscription may renew automatically according to the stated billing period.
• You may cancel according to the cancellation process provided in the Services.
• Failed payments may result in suspension or limitation of access until resolved.

9.3. Refunds

Refunds are provided according to applicable purchase terms and mandatory legal requirements. Unless otherwise required by law, we do not guarantee refunds for unused portions of a billing period, lack of use, or loss caused by user error.

10. Data and Privacy

Our Privacy Policy describes how Terralis collects, uses, stores, protects, and shares information.

Where an organization uses the Services to process patient or customer health-related information, processing may also be governed by a Data Processing Agreement between Terralis and that organization.

You authorize Terralis to process information as necessary to provide, secure, maintain, and improve the Services in accordance with the Privacy Policy, applicable agreements, and applicable law.

We do not sell personal data.

11. Security

We maintain administrative, technical, and organizational safeguards appropriate to the nature of the Services and the information processed through them.

However, no online service can be guaranteed to be completely secure.

You are responsible for maintaining the security of your credentials and devices and for promptly reporting suspected unauthorized access or security incidents.

12. Availability and Changes

The Services may be unavailable or degraded because of maintenance, upgrades, outages, security incidents, third-party service failures, or circumstances outside our reasonable control.

We may modify, improve, suspend, or discontinue features. Where practicable, we will provide reasonable notice of material changes.

13. Intellectual Property

Terralis and its software, branding, documentation, interfaces, designs, and related content are owned by Terralis or its licensors.

Except as expressly permitted:

• You may not copy or redistribute the Services.
• You may not resell or sublicense access.
• You may not use Terralis trademarks without permission.
• You do not receive ownership of the Services by using them.

You retain ownership of data and content you submit to the Services, subject to the rights necessary for Terralis to provide the Services and as otherwise described in the Privacy Policy and applicable agreements.

14. Termination and Suspension

You may stop using the Services at any time.

We may suspend or terminate access where reasonably necessary because of:

• A material breach of these Terms.
• Security or fraud risks.
• Unlawful use.
• A legal or regulatory requirement.
• Failure to pay applicable fees.

Termination does not automatically cancel outstanding payment obligations unless otherwise stated.

Following termination, customer data will be handled in accordance with the applicable Data Processing Agreement, Privacy Policy, and legal or regulatory retention requirements.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Services are provided on an “as is” and “as available” basis.
• We disclaim warranties not expressly stated in these Terms, including implied warranties to the extent they may legally be disclaimed.
• We are not liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, business, or data, except where such exclusion is prohibited by law.
• We are not responsible for clinical or operational decisions made by users based on information, alerts, recommendations, summaries, or AI-assisted output provided through the Services.
• We are not responsible for patient harm, dispensing errors, regulatory penalties, or similar consequences to the extent caused by a user’s failure to independently assess or verify information or by circumstances outside our reasonable control.

Where liability cannot legally be excluded, our aggregate liability will be limited to the amount permitted by applicable law and, to the extent legally enforceable, the fees paid by you for the Services during the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

16. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Terralis and its affiliates, officers, employees, and contractors from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

• Your use or misuse of the Services.
• Data or content you submit.
• Your violation of these Terms.
• Your violation of applicable law or the rights of another person.

This does not apply to the extent a claim is caused by Terralis’s own unlawful conduct, gross negligence, or willful misconduct where such limitation is prohibited by law.

17. Changes to These Terms

We may update these Terms from time to time.

We will update the effective or updated date and, where appropriate, provide additional notice of material changes.

Your continued use of the Services after an updated version becomes effective constitutes acceptance of the updated Terms to the extent permitted by law.

18. Governing Law

These Terms are governed by the laws of the Republic of Ghana, without regard to conflict-of-law principles, unless applicable law in your jurisdiction requires otherwise.
